Welcome to VMake Events, Marketing, and Films FZCO (“VMAKE”, “we”, “our”, or “us”). Our platform and services are designed to create, manage, and amplify exceptional experiences through events, marketing campaigns, and film production. These Terms and Conditions (“Terms”) govern your use of our website, services, and content (collectively, the “Services”). By accessing or using our Services, you agree to these Terms. If you do not agree, please refrain from using the Services.

1. Acceptance of Terms

By using VMAKE, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and any other policies posted on our platform. These Terms apply to all users, including but not limited to clients, attendees, collaborators, vendors, and contributors.

2. Modifications to Terms

VMAKE may update or revise these Terms at any time. Changes become effective upon posting on our website. Your continued use of our Services constitutes acceptance of the updated Terms. Users are encouraged to review these Terms periodically.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least 18 years old or of legal age in your jurisdiction to use VMAKE. Minors may only access the platform with parental or guardian consent.

3.2 Account Registration

Certain Services may require account registration. You agree to provide accurate, complete, and current information and are responsible for safeguarding your login credentials.

3.3 Account Security

You are responsible for all activities under your account. Notify us immediately of any unauthorized use. VMAKE is not liable for losses resulting from unauthorized access.

4. Services: Events, Marketing & Films

4.1 Event Services

Event details, schedules, speakers, and content are provided for informational purposes.
Ticket purchases are subject to the individual event’s terms. Refunds, exchanges, and cancellations are handled by the event organizer unless otherwise specified.
Maximum payment terms for future services will be as set forth in the General Terms and Conditions (T&Cs) established during the contract signing process.
VMAKE reserves the right to refuse entry or remove participants for disruptive or unlawful behavior.

4.2 Marketing Services

Marketing campaigns, digital content, and brand materials delivered by VMAKE are based on the agreed scope of work.
VMAKE provides professional recommendations but cannot guarantee specific business results, sales, or engagement metrics.

4.3 Film, TV & Radio Production

All film and media services are provided as per the agreed creative brief, timeline, and budget.
VMAKE retains the right to showcase produced work in portfolios, unless explicitly restricted by the client contract.
Clients are responsible for ensuring permissions for all music, likenesses, or third-party materials used in production.

5. Code of Conduct

All users, collaborators, and attendees must:

Behave respectfully and professionally.
Avoid harassment, discrimination, or abusive language.
Refrain from distributing harmful, illegal, or false content.
Avoid unauthorized solicitation, spam, or impersonation.

Violation may result in suspension or termination of access to VMAKE Services.

6. Intellectual Property

6.1 Ownership

All content, designs, graphics, software, and materials provided by VMAKE remain our property or the property of our licensors.

6.2 User-Generated Content

By submitting content (e.g., comments, media, reviews), you grant VMAKE a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute it in connection with our Services. You confirm that submitted content does not violate any third-party rights or applicable laws.

7. Privacy and Data

VMake collects, stores, and processes personal data according to our Privacy Policy. Data may be used for service improvement, analytics, communications, and marketing. By using our Services, you consent to these practices and may opt out of marketing communications at any time.

The information we may collect from you includes: – information establishing your identity (for example, name, address, email address, job title, company name, via the enquiry form you choose to submit.

9. Disclaimers and Warranties

VMAKE Services are provided “as is” and “as available.” We make no guarantees regarding accuracy, availability, or results. To the maximum extent permitted by law, all express and implied warranties, including merchantability, fitness for a particular purpose, or non-infringement, are disclaimed.

10. Limitation of Liability

VMAKE and its affiliates are not liable for any direct, indirect, incidental, or consequential damages, including loss of data, revenue, or reputation, arising from:

Use or inability to use Services
Participation in events or campaigns
Unauthorized access or errors
Our total liability shall not exceed the amount paid by the user to VMAKE in the six months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless VMAKE, its affiliates, employees, officers, and partners from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

12. Termination

VMAKE may suspend or terminate access to Services at any time for violations of these Terms or unlawful conduct. Account termination may result in deletion of data. Users may terminate accounts by contacting us directly.

13. Force Majeure

VMAKE shall not be liable for delays, non-performance, or cancellations caused by events beyond our reasonable control, including natural disasters, strikes, pandemics, governmental actions, or technical failures.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any disputes will be resolved exclusively in the courts of Dubai, UAE.

15. Entire Agreement

These Terms, along with the Privacy Policy and any additional guidelines, constitute the complete agreement between you and VMAKE regarding the use of our Services.
